1. Agreement

These Terms & Conditions ("Terms") govern your access to and use of Driftr at driftr.solutions and related services (the "Service"), operated by Driftr ("Driftr," "we," "us," or "our").

By creating an account, joining a hub, registering for an event, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use Driftr on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Driftr provides tools for organizations ("hubs") to manage memberships, event registrations, payments, announcements, surveys, staff requests, and reporting. The Service includes separate portals for hub managers, members, and staff.

Driftr is a technology platform. Hub organizers — not Driftr — run their programs, set prices, communicate with members, and decide what information to collect. Each hub is responsible for its own policies, refunds, and compliance with laws that apply to its activities.

3. Accounts

To use most features, you need an account. You agree to:

4. Hub manager responsibilities

You are solely responsible for the content you publish, emails you send, and decisions you make regarding your hub and its members.

5. Member and public registrations

When you join a hub or register for an event through a public link, you understand that your registration information will be shared with the hub that operates that program. Payment terms, cancellation rules, and event details are set by the hub, not by Driftr.

Submitting a registration or join form constitutes your agreement to these Terms and acknowledgment that the hub's own policies may also apply.

6. Fees and billing

Hub subscriptions

Hub managers may subscribe to Driftr on a recurring basis (currently $10 per hub per month, subject to change). New hubs may include a free trial period. Subscription fees are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Member payments

When members pay invoices or event fees, payments are processed by Stripe. Funds are paid out to the hub's connected Stripe account according to Stripe's terms and payout schedule. Standard card processing fees apply.

Platform fees on event payments

For qualifying event payments (currently invoices of $10.00 USD or more), Driftr may charge a platform fee (currently $1.00 USD per transaction) in addition to Stripe processing fees. Fee amounts may change with reasonable notice.

Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes associated with your use of the Service, except for taxes based on Driftr's net income.

7. Third-party services

The Service integrates with third parties including Stripe (payments) and email delivery providers. Your use of those services may be subject to their separate terms and privacy policies. Driftr is not responsible for third-party services outside our reasonable control.

Stripe Connect is currently available for U.S. accounts. Hub managers outside supported regions may have limited payment features.

9. Intellectual property

Driftr and its logos, software, and design are owned by Driftr or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to use the Service in the ordinary course.

You retain ownership of content you submit. You grant Driftr a limited license to host, display, transmit, and process that content solely to operate and improve the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, DRIFTR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Driftr does not guarantee uninterrupted or error-free operation, and we do not control hub organizers, member conduct, or third-party payment networks.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DRIFTR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DRIFTR IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Driftr from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your hub's activities, your content, or your violation of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law, or if continued provision poses risk to Driftr or other users.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive — including payment obligations, disclaimers, limitations of liability, and indemnification — will survive.

14. Changes

We may modify these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes may be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of the United States and the State of Illinois, without regard to conflict-of-law principles. Except where prohibited, disputes will be brought in the state or federal courts located in Illinois, and you consent to their jurisdiction.
